Common Legal Pitfalls for Consultants

December 11th, 2007

These days, every business is faced with continually delivering products and services in faster, better and cheaper ways. Information Technology often is the key to doing so. Meanwhile, an increasing portion of the value of any business is more and more likely to be its intangible assets, such as brands, trade secrets, know-how, patents, websites, networks, information systems and, even, customer relationships. Similarly, technology now drives many major sales, purchases, alliances, ventures and investments. And the growing use of email and the Internet in the workplace presents unique employment issues.

How does this affect your business? The key takeaway is that every business manager should understand the basic legal issues encountered as a result of these long-term trends. Our speaker, Larry Zanger, will discuss a variety of legal topics including how you can create stronger contracts which address and protect both your clients and your business interests, how to protect your valuable intellectual property, and other important legal issues which you need to consider for both starting and maintaining a successful consulting business.

Larry Zanger is a partner in the Business Law Section at the law firm of Holland & Knight in Chicago and focuses his practice on corporate and computer law matters. Mr. Zanger has substantial experience in the representation of a variety of businesses in the computer industry and those involved with electronic commerce. Representative activities include acting as outside general counsel for computer software developers, computer consultants, systems integrators and software and hardware distributors and dealers, with matters also involving international distribution and the ownership of foreign subsidiaries.

When you exit it, you want it to be in the best possible position in order to get the most value for all your blood, sweat and tears. By beginning your exit planning today, you can transition the company to new management smoothly and avoid the disruptions that can adversely impact you and the business.

This EVOLVE seminar will cover three common ways to exit a company: selling, succession, and merger. Our panel of entrepreneurs will talk about how they positioned companies for exit, how they chose their strategy, and what they feel went well (and what they wish they could do over). In addition, professional advisors will discuss the financial implications and legal considerations of exit planning.

Topics covered will include:

* How to choose the best strategy to exit your business;
* Which outside advisors to involve in the process; and
* How to build the strategy into your business plan.

When you exit your business, it should be in your own time and on your own terms. By attending this seminar and beginning your exit planning now, you can receive the maximum value and ensure a successful transfer to the new owners - a win-win for every entrepreneur!
